    [Purpose]
    Successful incumbent will lead a legal team to ensure that the business operations of the company are comply with law and regulation and being a key person for all legal related matters

    [Responsibilities]
    - Reviewing, drafting, and negotiating various type of commercial contracts (especially licensing agreement, service agreement and more) both in Thai and English
    • Providing legal advice regarding business operation and manage legal risks of the company
    • Being a pro-active legal point of contact for the business and interface between the business and other functions
    • Providing legal advice, negotiate and review general agreement in relation to leasing out merchandising space, sale and purchase agreement and service agreement and d others to ensure that business operations are in compliance with relevant laws, rules and regulations and The company Global/Regional Guidelines.
    • Ensure that the permits and licenses of the company comply with laws, rules, and regulations
    • Overview regulatory affairs and scanning the horizon of current and future regulatory changes which may cause an impact to the business in order to manage legal risks and providing appropriate actions with relevant departments
    • Advice on legal and regulatory matters, including internal compliance with recommended guidance to business units in Thailand markets
    • Leading CoCE and monitoring compliance and reports any occurred issues for the company
    • Leading as BEO overview emergency and risk management as well as Whistle Blowing and lead the investigation of any occurred non-compliance issues
    • Closely collaborate with SAPAC Legal team on contracts, agreement as well as take part in ad hoc projects as required
    • Provide Data Protection and Privacy related consultation and ensure the training for the company and employees is in place
    • Constant review data protection compliance arrangements to include updating policies and guidance, centralizing processes and putting in place robust, time-bound remedial plans
    • Undertake arrangements for the meetings of the Board, related Board Committees and the Shareholders. Ensuring that the meetings conform to relevant laws and regulations, the company's articles of association, individual Board and Committees charters and best practices
    • Provide preliminary advice and recommendations pertaining to legal, regulatory, and governance issues and practices related to the Board and Board Committees
    • Ensure that corporate information disclosure and related regulatory filings are in accordance with laws and regulations

Qualifications

  • Requirement

    [Must]
    - Bachelor or master’s degree in law
    - Excellent understanding of Thailand’s laws and regulations
    - 5 - 7 years+ of experience with solid experience in commercial laws and agreements, MOU’s commercial negotiation and common laws
    - Experienced as a lawyer in corporate or law firm, with extensive experience in legal practice and management at a senior level at reputation Retail or FMCG companies
    - Excellent interpersonal and communication skills – in both Thai and English (verbally and written)
    - Excellent drafting and negotiation skills, strong analytical, critical thinking, problem- solving, and research skills
    - Ability to manage and lead deals independently
    - Confident and able to work on own initiatives whilst maintaining a positive team spirit
    - Proficiency in a full suite of Microsoft office produce
